Article I - Name

The name of this organization shall be the Lonestar Early Bronco Club hereafter referred to as the "Club" or LEBC.

Article II - Purpose

This shall be a non-profit organization for the purpose of:

  1. Organizing family 4WD activities and fellowships.
  2. Seeking out and exploring interesting and remote areas.
  3. Aiding in the protection of natural resources, conservation and influencing local, state, and national opinions relevant to these purposes.
  4. Promoting and fostering safety and developing vehicle improvements relative to this purpose.
  5. Encouraging and welcoming guests to Club events.

Article III - Membership and Dues

Section 1 - Owners of and persons with an interest in 1966 – 1977 Ford Broncos are eligible to be members, associate members, or honorary members.

Section 2 - Qualifications for membership

  1. Primary members must be at least 18 year of age.
  2. Primary members must hold a valid drivers license.

Section 3 - Each membership includes a primary membership. Spouses and any other immediate family members constitute a family membership.

Section 4 - Voting is restricted to active (full) members.

  1. Each member (membership) is entitled to one (1) vote.
  2. No proxy votes. If a member is unable to attend a meeting and wants to contribute a vote, their vote must be expressed to a current member of the board before the vote takes place.
  3. All voting shall be by voice or show of hands except as noted.
    1. All voting shall be approved by two-thirds (2/3) of active present voting members, except as otherwise specified.
    2. Membership shall be dropped when there is a two-thirds (2/3) negative vote by the active present membership by secret ballot.

Section 5 - Dues

  1. Annual dues shall be $25.00 for a single membership and $35.00 for a family membership.
  2. Any members of the Club over three (3) months delinquent in dues payments shall be reviewed by the board of directors. They shall then make a recommendation to the membership.

Section 6 Compatibility/Activity/Attendance

  1. All members must conduct themselves in a respectable and orderly manner during Club activities.
  2. Members shall accept the responsibility for the safety and conduct of their guest(s).
  3. Each member shall accept the obligation to abide by the Club bylaws or resign.
  4. Members disgracing themselves in the public eye or bringing discredit to the Club or any organized four wheeling will be immediately subject to disciplinary actions, including expulsion from the Club.
    1. Any member having a complaint against a member of the Club shall present his/her complaint in person to the board of directors.
    2. A special board meeting shall be called for this purpose when requested of a board member or by any three (3) Club members.
    3. The board shall investigate any member who brings discredit to the Club, or who is incompatible, and shall make a recommendation to the membership for their vote.
    4. If a protesting member is dissatisfied with the board’s recommendation or action, a special membership meeting may be called.
  5. Members under the age of 18 must be accompanied by a parent or legal guardian at club sponsored events.
  6. No drugs or alcohol while operating a vehicle.

Section 7 - Withdrawal and Re-admittance.

  1. Any member wishing to withdraw from the Club must submit a request in writing.
  2. A former member wishing re-instatement in the Club may be re-admitted if approved, provided the former member left the Club in good standing. The member will pay regular dues as stated in Article III, Section 5.

Section 8 - Associate Membership

  1. Associate members will be members who own a Bronco, but do not wish to be a full member.
  2. A member is good standing with the Club may become an associate member if unanimously approved by the membership present.
  3. Persons wishing Associate membership status must be recommended by a member in good standing and seconded by another member in good standing of the Club.
  4. Associate members shall have no vote.
  5. Annual associate member dues are $10.00.
  6. Associate members must contact the Club at least every ninety (90) days to verify current address and keep in touch.

Section 9 - Honorary Membership

  1. Honorary members will be members that do not own an Early Bronco.
  2. A person wishing honorary membership status must be recommended by a member in good standing and seconded by another member in good standing of the Club and unanimously approved by the membership present.
  3. Honorary members shall have no vote.
  4. Annual Honorary membership dues are $10.00

Article IV – Officers and Duties

Section 1 - President

  1. Exercise general supervision over affairs of the Club.
  2. Conduct membership and board meetings.
  3. Appoint special committees.

Section 2 - Vice-President

  1. Assist the president.
  2. Act in place of the president in his absence.
  3. Organize membership-meeting activities.
  4. Shall be delegate to associate meetings.
  5. Designated Club membership chairman and responsible for coordinating Regional Association membership programs.
  6. Point of contact for persons inquiring about the Club.

Section 3 - Secretary

  1. Keep Club records and minutes.
  2. Attend to Club correspondence.
  3. Be responsible for the Club minutes.
  4. Shall head the by-law change committee.
  5. Shall tally absentee vote tally before club meetings.

Section 4 - Treasurer

  1. Prepare monthly financial statement listing each item of income and expense.
  2. Shall be permanent head of financial committee.
  3. Shall be responsible for Club funds and accounts.

Section 5 - Safety Officer

  1. Maintain order at Club meeting and activities.
  2. Act as Club host to welcome Club visitors and assure they sign the guest book.
  3. Publish yearly schedule of proposed Club events and non-Club events of interest to the membership with membership input.
  4. Organize and appoint leaders for runs and activities.
  5. Make personal contact with all land management agencies as required.
  6. Place the Club name and address on all land managing mailing lists.
  7. Each year, obtain and maintain a suitable list of conservation projects from the federal and state agencies or associations for Club projects.
  8. Keep the Club up-to-date on local, state, and national education and conservation programs.
  9. Organize Club sponsored conservation projects.
  10. Inform and attend local and state meetings of interest.

Article V – Board of Directors and Duties

Section 1 - The officers of the Club shall constitute the Club board.

Section 2 - The board shall have general supervision of the affairs of the Club and shall perform such duties as are specified in these by-laws and make recommendations to the Club. The board shall be subject to the orders of the Club and none of its acts shall conflict with actions taken by the Club.

Section 3 - Board Members

  1. President
  2. Vice-President
  3. Secretary
  4. Treasurer
  5. Safety Officer

Section 4 - Three (3) board members present shall constitute a quorum.

Section 5 - Board members cannot miss more than one (1) unexcused meetings without expulsion from the board.

Section 6 - Any vacancy will be filled by board appointment with Club approval.

Section 7 - The board shall reserve the right to impose and require reasonable safety and inspection measures at their discretion.

Article VI – Meetings

Section 1 - Membership meeting shall be held once a quarter and as called for.

Section 2 - Board meetings will be held when the president calls one. Any regular member is welcome at any board meeting.

Section 3 - Special meetings may be called by the president, by the Club board, or at the request of any three (3) members of the Club. The purpose of the meeting shall be stated in the call. Except in an emergency, at least one (1) day notice shall be given. All members in good standing shall be notified of these meetings.

Section 4 - One-half (1/2) plus one (1) of the active (present) members of the club shall constitute a quorum.

Article VII – Elections

Section 1 - Election of all officers and directors will be held at the regular first quarter meeting of each year.

  1. The board of directors shall appoint a nominating committee to include the current president.
  2. Nominations will be taken at the fourth quarter board meeting.
  3. Nominees to be disclosed in the newsletter following the fourth quarter meeting.
  4. Additional nominations from the membership shall be accepted up until the first quarter meeting.

Section 2 - The officers and board members shall be elected by ballot to serve for one (1) year.

Section 3 - New officers and directors shall take office at the regular second quarter meeting.

Section 4 - No member shall hold more than one (1) office at a time.

Section 5 - Members may succeed themselves in office.

Artice VIII – By – law changes

Section 1 - These by-laws may be amended by a two-thirds (2/3) majority vote at the regular third quarter membership meeting provided that the suggested change(s) has been submitted in writing at the second quarter meeting.

  1. All members shall be notified by correspondence of proposed by-laws change(s) if they were not in attendance at the second quarter meeting.
  2. All proposed changes must be read and discussed at a regular membership meeting prior to such a vote.

Article IX – Club property

Section 1 - All Club property, whether it be purchased or acquired through gifts or donations, are solely owned by this organization unless otherwise stated by donors.

Section 2 - All Club property shall be the responsibility of the board of directors.

Section 3 - If this Club holds any event(s) to which the members of the general public are invited to observe or participate in for a fee, the income from the general public, less a proportional share of the expenses which will not benefit members, will be paid over to an organization which is exempt from income tax under Section 501(C) (7) of the Internal Revenue Code on an annual basis.

Section 4 - If the Club disbands, the assets remaining after payment of, or provision for payment of, all debts and liabilities of this Club shall be distributed to corporation(s), association(s), fund(s), or foundation(s) organized and operated exclusively for charitable, scientific, literary, or educational purposes and qualified for exemption from federal income tax under Section 501(C)(7) of the Internal Revenue Code of 1954 as now in affect or as subsequently amended.

Section 5 - This organization does not contemplate pecuniary gain or profit to the members thereof and is organized for non-profit purposes.
